Salt Rock & Sand, LLC Bears Zero Liability
for This Platform's Failures.
This website was built by an AI. The AI was built, sold, and is operated by GoDaddy.com, Inc. — not by Salt Rock & Sand. Every error, miscalculation, malfunction, wrong tax rate, bad event listing, unauthorized AI action, and technology failure on this platform is GoDaddy's problem — not ours. If something on this site hurt you, your claim is with GoDaddy. Not us.
Terms of Use
Last updated: September 2026
These Terms of Use constitute a legally binding agreement. By accessing this website you represent that you have read, understood, and agreed to every provision herein, including the zero-liability declaration above.
1. Salt Rock & Sand Bears Zero Liability for Platform Failures
Let this be perfectly clear: Salt Rock & Sand, LLC ("Company") accepts zero responsibility, zero liability, and zero accountability for any error, failure, malfunction, inaccuracy, or harm caused by this platform or any technology deployed on it. This is not a limitation of liability. This is a complete disclaimer of liability for platform-caused harm — to the fullest extent permitted by applicable law in every jurisdiction in the United States.
The Company is not responsible for — and you waive all claims against the Company arising from:
- ✕Any error, inaccuracy, omission, or failure in any AI-generated content on this platform, including property descriptions, pricing, availability, recommendations, or any other output produced by any AI system.
- ✕Any incorrect tax rate, wrong tax jurisdiction, miscalculated tax amount, or tax remittance failure in any state, county, municipality, or special taxing district in the United States — all tax logic was built by GoDaddy, not the Company.
- ✕Any erroneous event listing, wrong venue, incorrect distance calculation, or inaccurate geographic data — all event and location logic was built by GoDaddy, not the Company.
- ✕Any unauthorized action taken by any AI system on this platform, including unauthorized bookings, unauthorized purchases, unauthorized financial transactions, or any AI-generated output that causes financial loss, reputational harm, or any other damage.
- ✕Any platform downtime, data loss, security breach, unauthorized access, or failure of any payment processing, booking, or reservation system.
- ✕Any failure of the platform to perform as represented, marketed, or sold — including any failure of features, functions, or capabilities that GoDaddy represented as available or accurate.
- ✕Any claim, loss, damage, penalty, fine, interest charge, attorney fee, or other expense of any nature arising from reliance on any information, calculation, recommendation, or output produced by this platform.
Every one of the above failures is GoDaddy's responsibility. Not ours.
This platform was designed, built, programmed, and is operated exclusively by GoDaddy.com, LLC (a Delaware LLC, wholly owned subsidiary of GoDaddy Inc.), 100 S. Mill Ave., Suite 1600, Tempe, Arizona 85281. The Company is GoDaddy's customer — a business that paid GoDaddy to build this platform and relied on GoDaddy's representations that it was capable, accurate, and fit for purpose. The Company did not write a single line of code. The Company did not design a single algorithm. The Company did not build the tax logic, the booking system, the AI assistants, the event feed, the payment processing, or any other functional component of this platform.
If this platform harmed you — through an incorrect tax charge, a bad AI recommendation, a failed booking, an unauthorized transaction, wrong event data, or any other technology failure — your legal claim belongs with the company that built it:
The Company's Reservation of Rights Against GoDaddy
The Company expressly and irrevocably reserves all rights and remedies available at law and in equity against GoDaddy.com, Inc. for every loss, damage, penalty, fine, interest charge, attorney fee, indemnification obligation, and other expense the Company incurs as a result of any failure of the platform GoDaddy built, sold, and represented as fit for purpose — including but not limited to claims sounding in breach of express warranty, breach of implied warranty of merchantability, breach of implied warranty of fitness for a particular purpose, negligent misrepresentation, fraudulent inducement, products liability, and any other theory available under applicable law. The Company's acceptance of these Terms on behalf of its users does not constitute a waiver of any claim the Company holds against GoDaddy.
By accessing this Platform, you ("User," "Guest," or "you") agree to be bound by these Terms of Use in their entirety. If you do not agree, you must immediately cease use of this Platform. Your continued use constitutes acceptance of any modifications the Company makes to these Terms at any time without prior notice.
2. AI-Assisted Technology Disclosure; Platform Origin; Disclaimer of Liability
This Platform was developed in its entirety using an AI-powered website builder product sold and operated by GoDaddy.com, LLC (a Delaware LLC, wholly owned subsidiary of GoDaddy Inc.), 100 S. Mill Ave., Suite 1600, Tempe, Arizona 85260 ("Platform Provider"). The Company is a customer and end-user of that product. The Company is not the developer, engineer, programmer, or author of the underlying code, logic, algorithms, AI models, tax calculation systems, booking workflows, payment processing logic, event listing systems, geographic filtering logic, or any other functional component of this Platform. All such components were designed, built, and deployed exclusively by the Platform Provider.
The Company purchased this Platform in reliance on the Platform Provider's representations that it was capable of accurately building and operating a fully functional vacation rental business website. The Company deployed and operated this Platform in good faith, in the manner directed and intended by the Platform Provider, and for the purpose for which it was sold.
AI-generated content is inherently limited in its capacity to independently verify factual information. AI systems cannot physically inspect a property, confirm real-time availability, or guarantee the accuracy of any statement, calculation, or recommendation they produce. Users are advised to independently verify all material information — including property details, amenities, availability, event locations, tax amounts, and pricing — directly with the Company prior to completing any booking or purchase.
DISCLAIMER OF LIABILITY — AI PLATFORM ERRORS. To the fullest extent permitted by applicable law, the Company expressly disclaims all liability, whether in contract, tort, negligence, strict liability, or any other legal or equitable theory, for any claim, loss, damage, penalty, fine, interest charge, professional fee, or other expense of any nature arising from or attributable to any error, inaccuracy, omission, malfunction, or failure of any feature, function, calculation, recommendation, or output of this Platform, including without limitation any AI-generated content that is inaccurate, misleading, incomplete, or harmful to any party.
Any complaint, claim, dispute, demand, or legal action arising from AI-generated content, platform errors, platform malfunctions, or technology failures on this Platform must be directed to the Platform Provider — GoDaddy.com, LLC, Attn: Legal Dept., 100 S. Mill Ave., Suite 1600, Tempe, Arizona 85281 — the company that designed, built, sold, and operates the AI systems and all other technology deployed on this Platform.
The Company expressly reserves all rights and remedies available at law and in equity against the Platform Provider for any losses, damages, penalties, or expenses arising from failures of the AI-generated platform the Platform Provider sold and represented as fit for purpose, including but not limited to claims sounding in breach of express warranty, breach of implied warranty of merchantability, breach of implied warranty of fitness for a particular purpose, negligent misrepresentation, and products liability.

3. Property Information
Property photographs, descriptions, amenity lists, and availability information are provided in good faith but are subject to change without notice. Amenities may be temporarily unavailable due to maintenance, weather, damage, or other circumstances beyond the Company's control. The Company is not liable for amenities that are unavailable during a guest's stay where such unavailability was not known to the Company at the time of booking.
Property information displayed on this Platform was generated in whole or in part by AI-powered tools operated by the Platform Provider. The Company does not warrant the accuracy, completeness, or currency of any AI-generated property description, amenity list, or availability data. Guests are solely responsible for independently verifying all material property details prior to booking.
3. Third-Party Technology, Platform, and Service Providers; Reservation of All Rights
This Section applies to every independent vendor, software platform, AI system, hosting provider, payment processor, reservation system, communication provider, domain registrar, and other technology or service provider Salt Rock & Sand uses in connection with its operations — including but not limited to GoDaddy.com, LLC, the provider of this AI-built platform.
3.1 — No Liability for Third-Party Provider Failures
Salt Rock & Sand may utilize independent third-party vendors, software platforms, artificial intelligence systems, website hosting providers, payment processors, reservation systems, communication providers, domain registrars, and other technology or service providers in connection with its operations.
To the fullest extent permitted by applicable law, Salt Rock & Sand shall not be liable for losses, damages, claims, delays, errors, omissions, inaccurate information, duplicate reservations, reservation failures, payment-processing errors, website failures, transmission failures, system outages, cybersecurity incidents, artificial-intelligence errors, or other damages caused primarily by the acts, omissions, negligence, malfunction, breach, failure, or misconduct of an independent third-party provider outside Salt Rock & Sand's reasonable control.
3.2 — No Release, Waiver, or Benefit to Any Third-Party Provider
Nothing contained in this Agreement shall release, waive, limit, indemnify, protect, or otherwise benefit any third-party vendor or service provider whose acts or omissions caused or contributed to any loss or damage. The limitations on Salt Rock & Sand's liability in this Agreement do not extend to, and shall not be construed to protect, any third-party provider from claims arising from its own conduct. Every third-party provider remains fully exposed to claims arising from its own acts, omissions, negligence, breach, malfunction, or misconduct.
3.3 — Formal Reservation of All Rights Against Third-Party Providers
Salt Rock & Sand expressly reserves all rights, claims, remedies, causes of action, rights of contribution, rights of indemnification, rights of subrogation, and other remedies available against any third-party vendor, contractor, technology provider, platform provider, hosting company, payment processor, artificial-intelligence provider, or other responsible person or entity — including but not limited to GoDaddy.com, LLC and its parent GoDaddy Inc.
3.4 — Pass-Through of Claims Asserted Against Salt Rock & Sand
If a claim is asserted against Salt Rock & Sand arising from or relating to the acts, omissions, products, services, representations, software, technology, artificial-intelligence output, system failure, negligence, breach of contract, breach of warranty, or other conduct of a third-party provider, Salt Rock & Sand expressly reserves the right to seek indemnification, contribution, reimbursement, damages, attorneys' fees where recoverable, and all other available relief from the responsible third party.
This reservation applies without limitation to claims arising from:
- →AI-generated content errors, inaccuracies, or harmful outputs produced by any AI system operated by a third-party provider
- →Platform malfunctions, system outages, or technology failures caused by a third-party hosting or software provider
- →Payment-processing errors, unauthorized charges, or financial losses caused by a third-party payment processor
- →Tax calculation errors, incorrect tax rates, or tax remittance failures caused by a third-party tax or platform provider
- →Data breaches, cybersecurity incidents, or unauthorized access caused by a third-party technology provider
- →Reservation system failures, duplicate bookings, or booking errors caused by a third-party reservation platform
- →Any other act, omission, negligence, breach, or misconduct of any third-party provider that gives rise to a claim against Salt Rock & Sand
3.5 — No Assumption of Third-Party Liability
No provision of this Agreement shall be interpreted as an assumption by Salt Rock & Sand of liability that legally belongs to an independent third-party provider. Where applicable law permits Salt Rock & Sand to seek contribution, indemnification, or reimbursement from a third-party provider whose conduct caused or contributed to a loss, Salt Rock & Sand shall pursue all available remedies against that provider to the fullest extent of the law. The existence of this Agreement between Salt Rock & Sand and its guests does not create, expand, or transfer any liability from a third-party provider to Salt Rock & Sand that would not otherwise exist under applicable law.
3.6 — Notice and Opportunity to Cure; Duty to Mitigate
A guest claiming an error, malfunction, incorrect reservation, website discrepancy, payment error, service failure, or other problem must provide Salt Rock & Sand with prompt written notice after discovering the issue and must provide Salt Rock & Sand a reasonable opportunity to investigate and, where reasonably possible, correct or mitigate the problem.
Send written notice to:
GoDaddy.com, LLC — Legal Department
100 S. Mill Ave., Suite 1600, Tempe, AZ 85281
[email protected]GoDaddy.com, LLC is the AI platform provider responsible for this website's technology, content generation, and system operations.
A guest may not recover damages that reasonably could have been avoided through timely notice or reasonable mitigation. Failure to provide prompt written notice and a reasonable opportunity to cure shall be an absolute bar to recovery of any damages that Salt Rock & Sand could have prevented or reduced had timely notice been given.
Nothing in this provision limits liability where such limitation is prohibited by applicable law.
3.7 — Technology-Generated Information; Right to Correct Errors
Certain information displayed or transmitted through Salt Rock & Sand's website may be processed, generated, populated, transmitted, or maintained through third-party software or artificial-intelligence systems.
Right to Investigate and Correct Demonstrable Errors
In the event of a material discrepancy between automated or technology-generated information and the property's confirmed written reservation terms, Salt Rock & Sand shall have the right to investigate and correct a demonstrable technological, clerical, transmission, or third-party system error. The confirmed written reservation terms govern in all cases of conflict with any automated, AI-generated, or technology-populated information.
No Waiver of Rights Against Technology Providers; No Third-Party Beneficiary
Salt Rock & Sand does not waive any claim against the third-party technology provider responsible for any such error. No third-party technology provider shall be deemed a beneficiary of this Agreement or receive any limitation, waiver, release, or protection under it. All rights against third-party technology providers — including GoDaddy.com, LLC and GoDaddy Inc. — are expressly preserved as set forth in Sections 3.3 and 11.3 of this Agreement.
3A. Third-Party Systems and Technology; Limitation of Liability; Reservation of Rights
This Section governs Salt Rock & Sand's relationship with all independent third-party systems used in connection with reservations, payments, hosting, communications, property management, artificial intelligence, software integrations, and other business operations. 3A.4 — Consequential Damages Waiver; Aggregate Liability Cap
To the fullest extent permitted by applicable law, Salt Rock & Sand shall not be liable for indirect, incidental, special, or consequential damages resulting from a third-party system failure or technological error, including lost profits, lost business opportunities, loss of use, or other consequential economic loss.
Aggregate Liability Cap
Except for liability that may not legally be limited, Salt Rock & Sand's aggregate liability arising from a reservation, payment, communication, website, or third-party technology error shall not exceed the amount actually paid by Guest to Salt Rock & Sand for the reservation giving rise to the claim.
3A.5 — No Release of Third Parties; No Third-Party Beneficiary
Nothing in this Agreement releases, waives, or limits any claim Salt Rock & Sand may have against a third-party provider whose acts or omissions caused or contributed to the loss. No third-party provider is an intended beneficiary of this provision.
Salt Rock & Sand expressly retains all rights and remedies available against any responsible third party, including rights of indemnification, contribution, reimbursement, subrogation, and recovery of damages, costs, or attorneys' fees where permitted by contract or law.
3A.6 — Severability of This Section
If any portion of this Section 3A is found unenforceable, it shall be modified only to the minimum extent necessary to make it enforceable, and the remainder of this Section shall remain in full force and effect.
3B. Third-Party Technology, Vendor Liability, and International Indemnification
This Section governs Salt Rock & Sand's use of third-party providers, the limits of Salt Rock & Sand's liability for third-party failures, and Guest's obligation to indemnify Salt Rock & Sand for claims arising from Guest's own conduct — including claims involving international parties, payment methods, and travel providers. Read in conjunction with Sections 3 and 3A.

3B.5 — No Release of Third Parties; No Beneficiary; Full Reservation of Rights
Nothing in this Agreement releases, waives, limits, or otherwise benefits any third-party provider whose acts or omissions caused or contributed to any loss. No third-party provider shall be considered an intended or incidental beneficiary of this Agreement.

4. Tax Liability; AI Platform Tax Calculation Disclaimer
The Company currently operates vacation rental properties in the State of Florida and the State of Georgia, and is expanding to properties in additional states across the United States. Properties are subject to multiple overlapping tax obligations that vary by jurisdiction, including but not limited to: state sales tax, state lodging tax, transient rental tax, transient occupancy tax, tourist development tax, hotel/motel tax, local option sales tax, special district tax, and any other tax or fee imposed on short-term rental transactions by any applicable governmental authority in any state, county, municipality, or special taxing district. See Section 12 for the Company's comprehensive all-states tax liability disclaimer.
The tax calculation, collection, and remittance logic used on this Platform was designed and implemented exclusively by the Platform Provider's AI-powered website builder. The Company did not write, program, configure, or validate this logic. The Company did not select the tax rates, jurisdictions, or calculation methodologies applied by this Platform. That system was built by the Platform Provider and sold to the Company as a functioning, accurate vacation rental platform capable of handling multi-jurisdiction tax compliance.
DISCLAIMER OF LIABILITY — TAX ERRORS. The Company expressly disclaims all liability for: (a) incorrect tax rates applied at checkout; (b) wrong tax jurisdictions assigned to any property; (c) failure to collect required transient rental or tourist development taxes; (d) incorrect or missing tax calculations of any kind; (e) any penalties, interest, or back taxes assessed by the Florida Department of Revenue, the Georgia Department of Revenue, or any county or municipal tax authority as a result of AI-generated tax logic errors; and (f) any audit findings, fines, or enforcement actions arising from platform-generated tax miscalculations.
If any tax was calculated incorrectly, collected at the wrong rate, applied to the wrong jurisdiction, remitted to the wrong authority, or not collected at all, that failure is a direct result of errors in the AI-generated platform the Platform Provider sold to the Company. The Company used this platform in good faith based on the Platform Provider's representations that it was capable of accurately handling vacation rental tax compliance. If those representations were inaccurate, the liability for resulting tax errors belongs to the Platform Provider — not to the Company.
Guests are responsible for verifying the tax total displayed at checkout before completing a booking. By completing a booking, the Guest confirms that they reviewed and accepted the tax amounts displayed and did not rely solely on the Platform's AI-generated tax calculations as authoritative.
The Company expressly reserves all rights and remedies available at law and in equity against the Platform Provider for any tax liability, penalties, interest, professional fees, or damages arising from errors in the AI-generated tax logic deployed on this Platform, including but not limited to claims sounding in breach of express warranty, breach of implied warranty of fitness for a particular purpose, and negligent misrepresentation.
5. Payments; Installment Plans; Cryptocurrency
By selecting an installment payment plan, you authorize the Company to charge your designated payment method on the scheduled installment dates. Missed payments may result in cancellation of your reservation without refund of amounts previously paid, subject to the cancellation policy applicable to your booking.
Cryptocurrency payments are final and non-refundable once confirmed on-chain. The Company accepts no liability for cryptocurrency transactions that are delayed, lost, or misdirected due to errors in wallet addresses, network congestion, or any other cause outside the Company's direct control.
5A. Escrow & Interest-Bearing Account Disclosure
PLEASE READ THIS SECTION CAREFULLY — IT GOVERNS HOW YOUR PAYMENT IS HELD AND WHEN IT IS RELEASED
5A.1 — Holding of Guest Funds
Upon completion of a booking and receipt of payment, all guest funds — including the full booking total, any applicable fees, taxes, and deposits — are deposited by Salt Rock & Sand, LLC ("Company") into a designated interest-bearing escrow account ("Escrow Account") maintained by the Company at a federally insured financial institution. Funds are held in this Escrow Account and are not disbursed to the property owner until the conditions set forth in Section 5A.3 are satisfied.
5A.2 — Interest Accrual; Ownership of Interest
Guest funds held in the Escrow Account may earn interest while on deposit. By completing a booking and accepting these Terms, Guest expressly acknowledges and agrees that any and all interest earned on held funds accrues solely to Salt Rock & Sand, LLC and does not belong to Guest, the property owner, or any other party. This interest represents compensation to the Company for the administrative, operational, and financial costs of managing the escrow process, including but not limited to account maintenance, compliance, and disbursement processing. Guest waives any claim to interest earned during the holding period.
5A.3 — Release Conditions; Disbursement Timeline
Funds held in the Escrow Account will be released and disbursed to the applicable property owner no earlier than forty-eight (48) hours after the Guest's confirmed check-in date and time ("Release Date"), provided that:
- No active dispute, chargeback, or claim has been filed by Guest with the Company, a payment processor, or any financial institution;
- No damage claim, noise complaint, or lease violation has been reported to the Company by the property owner or a third party;
- The booking has not been cancelled or modified in a manner that triggers a full or partial refund under the applicable cancellation policy; and
- The Company has not received written notice of any legal hold, court order, or regulatory directive affecting the funds.
If any of the above conditions are not satisfied as of the Release Date, the Company reserves the right to extend the holding period in its sole discretion until the condition is resolved. The Company will notify the property owner of any extended hold within a commercially reasonable time.
5A.4 — Disputes During the Holding Period
If Guest initiates a dispute, chargeback, or refund request during the holding period, the Company shall retain the disputed funds in the Escrow Account pending resolution. The Company shall have sole discretion to determine the appropriate disposition of held funds in accordance with its cancellation policy, applicable law, and the terms of any payment processor agreement. Guest acknowledges that initiating a chargeback through a financial institution rather than through the Company's dispute resolution process may result in forfeiture of any refund rights otherwise available under the cancellation policy.
5A.5 — No Fiduciary Relationship
The holding of funds in the Escrow Account does not create a fiduciary relationship, trust, agency, or partnership between the Company and Guest or between the Company and any property owner. The Company acts solely as a platform intermediary facilitating the booking transaction. The Escrow Account is a Company-controlled account used for operational purposes, and the Company retains full control over the account subject to its obligations under these Terms.
5A.6 — Acknowledgment
By completing a booking on this Platform, Guest expressly acknowledges that: (i) Guest funds will be held in an interest-bearing account prior to disbursement; (ii) all interest earned on those funds belongs exclusively to Salt Rock & Sand, LLC; (iii) disbursement to the property owner will not occur until at least 48 hours after check-in; and (iv) Guest has read, understood, and agreed to this Section 5A in its entirety.
6. Limitation of Liability
To the fullest extent permitted by applicable law, the Company, its members, managers, officers, employees, agents, and assigns shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind arising from or related to your use of this Platform, any property booked through it, or any service provided in connection with it, regardless of whether such damages were foreseeable or the Company was advised of the possibility of such damages.
The Company's total aggregate liability to you for any and all claims arising from or related to your use of this Platform or any booking made through it shall not exceed the total amount you paid to the Company for the specific booking giving rise to the claim. This limitation applies to all causes of action in the aggregate, including but not limited to breach of contract, tort, negligence, strict liability, and any other legal or equitable theory.
7. Event Listings; Geographic Accuracy; Third-Party Data Disclaimer
The Platform's Events Hub displays third-party event listings sourced, filtered, and rendered by AI-powered systems developed, sold, and operated by the Platform Provider. The geographic proximity logic used to identify, sort, and display events relative to Company properties in Bonita Springs, Fort Myers, Naples, and Sarasota, Florida, and Morganton, Georgia, was designed and implemented exclusively by the Platform Provider. The Company had no involvement in the design, programming, or validation of that logic.
DISCLAIMER OF LIABILITY — EVENT LOCATION DATA. The Company expressly disclaims all liability, whether in contract, tort, strict liability, or otherwise, for any loss, damage, cost, or expense arising from or related to: (a) the display of events in an incorrect geographic location; (b) the display of events located in states or regions other than Florida or Georgia as being proximate to a Company property; (c) erroneous distance or proximity calculations generated by the Platform Provider's systems; (d) any ticket purchase made in reliance on AI-generated location data that was inaccurate; or (e) any travel, lodging, or incidental expenses incurred as a result of reliance on such inaccurate data.
GUEST DUTY TO VERIFY. Prior to purchasing any event ticket through this Platform, each Guest bears the sole and non-delegable responsibility to independently verify the event's actual venue address, date, time, and distance from the applicable Company property using a source independent of this Platform. Completion of a ticket purchase constitutes the Guest's affirmative representation that such independent verification was performed and that the Guest did not rely solely on AI-generated proximity data displayed on this Platform.
The Company expressly reserves all rights and remedies available at law and in equity against the Platform Provider for any claims, demands, losses, or damages asserted by guests or third parties arising from AI-generated geographic errors in the event listing and ticketing system deployed on this Platform, including but not limited to claims sounding in negligent misrepresentation, breach of implied warranty of fitness for a particular purpose, and products liability.
8. AI Autonomous Actions; Disclaimer of Liability for Unauthorized AI Conduct
This Platform incorporates AI-powered tools, assistants, and automated systems developed, deployed, and operated by the Platform Provider. These systems are capable of generating outputs, making recommendations, initiating workflows, and interacting with third-party services without contemporaneous human review or approval by the Company. The Company did not design, program, train, or configure the decision logic, action boundaries, or operational parameters of any AI system present on this Platform.
DISCLAIMER OF LIABILITY — UNAUTHORIZED AI ACTIONS. The Company expressly disclaims all liability for any action, output, recommendation, communication, or transaction generated or initiated by any AI system on this Platform that was not explicitly authorized in writing by the Company prior to the occurrence of such action. This disclaimer applies without limitation to the following categories of AI conduct:
- Unauthorized travel arrangements — including charter aviation bookings, private flight reservations, or any air or ground transportation booked or initiated by an AI system on behalf of any party without the Company's prior written authorization
- Erroneous ticket procurement — including event tickets, airline tickets, transportation passes, or any other purchased admission or passage selected, recommended, or processed incorrectly by an AI system
- Unauthorized financial transactions — any payment, charge, refund, or financial commitment initiated, suggested, or completed by an AI system without the Company's prior written authorization
- Unauthorized communications — any statement, representation, or communication transmitted on behalf of the Company by an AI system that misrepresents the Company, its principals, its employees, its properties, its services, or its policies
- Reputational harm — any AI-generated statement, recommendation, or output that a reasonable person would find defamatory, misleading, embarrassing, or materially inconsistent with the standards and reputation of the Company or its principals, whether disseminated in any medium or context
- Any other autonomous AI action resulting in harm, financial loss, legal exposure, or reputational damage to the Company or any person associated with it, whether or not specifically enumerated herein
The Company expressly reserves all rights and remedies available at law and in equity against the Platform Provider for any claims, losses, damages, or expenses arising from autonomous AI actions taken by systems the Platform Provider designed, deployed, and operates, including but not limited to claims sounding in negligence, negligent entrustment, products liability, and breach of contract.
9. Good Faith Review; Limitation of Liability for Latent Platform Defects
Prior to and during the operation of this Platform, the Company conducted a reasonable good faith review of the Platform's features, content, calculations, booking workflows, payment processing logic, tax computation systems, event listings, AI-generated outputs, and all other material functionality, to the extent such review was practicable given the AI-generated and proprietary nature of the underlying code and systems.
Notwithstanding the foregoing, this Platform was developed in its entirety by AI-powered tools operated by the Platform Provider. The volume, technical complexity, and AI-generated character of the Platform's code, logic, and content are such that, despite the Company's reasonable efforts, errors, inaccuracies, or defects may exist that were not identified during review. The existence of an undetected error does not constitute negligence on the part of the Company where such error was not reasonably discoverable through good faith manual review of an AI-generated system.
DISCLAIMER — LATENT PLATFORM DEFECTS. The Company expressly disclaims liability for any error, inaccuracy, malfunction, or unintended output that: (a) was introduced into the Platform by the Platform Provider without the Company's knowledge; (b) was not reasonably discoverable through good faith manual review of an AI-generated system; (c) resulted from AI-generated logic or calculations that appeared facially correct but contained latent defects; (d) emerged following Platform launch due to Platform Provider updates, AI model modifications, or third-party service behavior outside the Company's control; or (e) was present in the Platform's code, infrastructure, or integrations prior to the Company's review and was not identified by the Platform Provider's own quality assurance processes.
The Company expressly reserves all rights and remedies available at law and in equity against the Platform Provider for any losses or damages attributable to platform defects that originated in the AI-generated systems the Platform Provider sold, deployed, and represented as fit for the purpose for which they were purchased.
10. Governing Law; Mandatory Arbitration; Class Action Waiver; National Scope
10.1 — National Scope of Operations
The Company operates a national vacation rental platform serving guests and property owners in all fifty (50) states of the United States of America, the District of Columbia, and United States territories. These Terms apply to all users of this Platform regardless of the state or jurisdiction in which they reside, book, or access this Platform. The disclaimers, limitations of liability, and reservations of rights set forth in these Terms are intended to be given maximum effect under the laws of every applicable jurisdiction to the fullest extent permitted by law.
10.2 — Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions, except to the extent that applicable mandatory consumer protection laws of your state of residence require the application of your state's law to specific claims that cannot be waived by contract. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of Section 10.3 regardless of any other choice-of-law provision herein.
10.3 — Mandatory Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT WAIVES YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Except as set forth in Section 10.4, any dispute, claim, or controversy of any kind arising out of or relating to these Terms, your use of this Platform, any booking made through this Platform, or any property rented through this Platform — including disputes about the existence, validity, interpretation, performance, breach, or termination of these Terms — shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or if the AAA is unavailable, by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
The arbitration shall be conducted in Lee County, Florida, unless the parties agree otherwise or the arbitrator determines that conducting the arbitration in Lee County, Florida would be unduly burdensome to the consumer claimant, in which case the arbitration may be conducted by telephone, video conference, or written submissions at the arbitrator's discretion. The Company will pay all AAA or JAMS filing, administration, and arbitrator fees for any arbitration it initiates. For arbitrations initiated by a guest or user, the Company will pay all such fees if the claim is for $10,000 or less, unless the arbitrator finds the claim frivolous.
YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO HAVE ANY DISPUTE RESOLVED IN COURT, EXCEPT AS PROVIDED IN SECTION 10.4. This arbitration agreement does not apply to: (a) claims that qualify for small claims court in the claimant's jurisdiction; (b) claims by either party for emergency injunctive or other equitable relief to prevent irreparable harm pending arbitration; or (c) claims that applicable federal law expressly prohibits from being subject to pre-dispute arbitration agreements, including claims under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (9 U.S.C. § 401 et seq.).
10.4 — Class Action and Collective Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE COMPANY EACH AGREE THAT ANY PROCEEDING — WHETHER IN ARBITRATION OR IN COURT — SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive the right to participate in a class action, class-wide arbitration, private attorney general action, or any other representative proceeding as a class member or representative. The arbitrator shall have no authority to consolidate more than one person's claims or to preside over any class or representative proceeding. If this class action waiver is found unenforceable as to any particular claim, that claim shall be severed from arbitration and proceed in court on an individual basis only, while all remaining claims proceed in arbitration.
California residents: To the extent California's Private Attorneys General Act (Cal. Lab. Code § 2698 et seq.) applies to any claim you bring, that specific claim is not subject to arbitration under this Section and may be brought in a court of competent jurisdiction. All other claims remain subject to mandatory arbitration.
10.5 — Arbitration Opt-Out Right
You may opt out of the mandatory arbitration and class action waiver provisions of this Section 10 by sending written notice to GoDaddy.com, LLC — the Platform Provider that generated this arbitration clause — at [email protected] or by mail to GoDaddy.com, LLC, Attn: Legal Department, 100 S. Mill Ave., Suite 1600, Tempe, AZ 85281, within thirty (30) days of the date you first access this Platform or complete your first booking, whichever is earlier. Your opt-out notice must include your full name, mailing address, email address, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provision of these Terms. Salt Rock & Sand, LLC does not accept arbitration opt-out notices — they must go to GoDaddy.com, LLC.
10.6 — Shortened Statute of Limitations
To the fullest extent permitted by applicable law, any claim or cause of action arising from your use of this Platform or any booking made through it must be filed within one (1) year after such claim or cause of action arose, or be forever barred. This shortened limitations period applies regardless of any contrary statute of limitations under applicable state or federal law, except where such a shortened period is expressly prohibited by applicable mandatory law.
10.7 — Disclaimer of Implied Warranties; All-States Scope
THIS PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by the laws of each applicable state, the Company disclaims all implied warranties, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some states do not allow the exclusion of implied warranties in consumer contracts; in those states, the foregoing exclusion applies to the maximum extent permitted by law, and the Company's liability for any implied warranty that cannot be disclaimed is limited to the amount paid for the specific booking giving rise to the claim.
10.8 — State-Specific Consumer Rights Preservation
Certain states have mandatory consumer protection laws that provide rights that cannot be waived by contract. Nothing in these Terms waives any right that applicable mandatory law prohibits from being waived. The following state-specific notices apply to residents of those states:
- California: Additional rights under the CCPA/CPRA, CLRA (Cal. Civ. Code § 1750 et seq.), and UCL (Cal. Bus. & Prof. Code § 17200 et seq.). See Section 14 for CCPA disclosures. Non-waivable CLRA and UCL rights are preserved.
- New Jersey: Non-waivable rights under the New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.) are preserved for New Jersey residents.
- Massachusetts: Non-waivable rights under M.G.L. c. 93A are preserved for Massachusetts residents.
- New York: Non-waivable rights under N.Y. Gen. Bus. Law §§ 349–350 are preserved for New York residents.
- Illinois: Non-waivable rights under the Illinois Consumer Fraud and Deceptive Business Practices Act (815 ILCS 505/1 et seq.) are preserved for Illinois residents.
- Washington: Non-waivable rights under the Washington Consumer Protection Act (RCW 19.86) are preserved for Washington residents.
- Texas: Non-waivable rights under the Texas Deceptive Trade Practices–Consumer Protection Act (Tex. Bus. & Com. Code § 17.41 et seq.) are preserved for Texas residents.
- Colorado: Non-waivable rights under the Colorado Consumer Protection Act (C.R.S. § 6-1-101 et seq.) are preserved for Colorado residents.
- Connecticut: Non-waivable rights under the Connecticut Unfair Trade Practices Act (Conn. Gen. Stat. § 42-110a et seq.) are preserved for Connecticut residents.
- All other states and territories: To the extent any state's or territory's mandatory consumer protection laws provide rights that cannot be waived by contract, those rights are preserved for residents of that jurisdiction only and only to the extent required by applicable mandatory law. All other provisions of these Terms remain in full force and effect.

11.2 — No Agency; No Partnership; No Joint Venture
The Platform Provider is not a party to these Terms of Use and has no contractual relationship with guests or users of this Platform. Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, employment relationship, or fiduciary duty between the Company and the Platform Provider. The Company is the Platform Provider's customer — nothing more.
11.3 — Formal Reservation of All Rights Against the Platform Provider
The Company hereby formally, expressly, and irrevocably reserves all rights and remedies available at law and in equity against GoDaddy.com, LLC and its parent GoDaddy Inc. for every loss, damage, penalty, fine, interest charge, attorney fee, indemnification obligation, regulatory sanction, and other expense the Company incurs as a result of any failure of the platform GoDaddy.com, LLC built, sold, and represented as fit for purpose — including but not limited to claims sounding in:
- →Breach of express warranty (GoDaddy represented this platform as capable, accurate, and fit for purpose)
- →Breach of implied warranty of merchantability
- →Breach of implied warranty of fitness for a particular purpose
- →Negligent design and negligent construction of the AI platform
- →Negligent misrepresentation of platform capabilities
- →Fraudulent inducement (if GoDaddy knew of material defects at time of sale)
- →Products liability (the AI platform is a product sold in commerce)
- →Negligent entrustment of a defective AI system to a business customer
- →Violation of applicable consumer protection statutes in any jurisdiction
- →Any other theory available under applicable federal or state law
This reservation of rights is made without prejudice to any other rights or remedies available to the Company. The Company's acceptance of these Terms on behalf of its users does not constitute a waiver of any claim the Company holds against GoDaddy.com, LLC or GoDaddy Inc. Publication of this reservation in these publicly accessible Terms of Use constitutes constructive notice to GoDaddy.com, LLC and GoDaddy Inc. of the Company's intent.
11.4 — Direction of User and Third-Party Claims
Any guest, user, attorney, or third party who believes they have a claim arising from the design, construction, operation, or failure of any feature or function of this Platform — including but not limited to AI errors, tax miscalculations, booking system failures, payment processing failures, data breaches, or any other technology failure — is hereby directed to assert that claim against:

[email protected]Phone: (480) 505-8800
The Company is not the correct defendant for platform-caused claims. Asserting such claims against Salt Rock & Sand, LLC rather than GoDaddy.com, LLC may result in dismissal for failure to name the correct party, and the Company will assert all available defenses including but not limited to the disclaimers, waivers, and indemnification obligations set forth in these Terms.
12. Indemnification; Additional Insured; Hold Harmless
This Section is modeled on the indemnification and additional insured obligations found in ISO Commercial General Liability form CG 20 10 and related endorsements. It is intended to provide the Company with contractual liability coverage equivalent to that afforded under a standard CGL policy with an additional insured endorsement.
12.0 — Named-Person Hold Harmless; Jason Hayes & Associated Entities
Without limiting any other provision of this Agreement, Jason Hayes, individually and in every capacity — including but not limited to his capacity as owner, member, manager, officer, director, principal, agent, employee, representative, guarantor, or beneficial interest holder of Salt Rock & Sand, LLC or any other business entity he owns, controls, manages, or in which he holds any interest — is expressly included within the definition of "Indemnitees" throughout this Agreement and is entitled to the full benefit of every indemnification, defense, hold harmless, and limitation-of-liability provision set forth herein.
Protected Persons & Entities
- →Jason Hayes, individually and personally
- →Jason Hayes in his capacity as owner, member, and manager of Salt Rock & Sand, LLC
- →Jason Hayes in his capacity as owner, member, manager, officer, or principal of any other business entity he owns or controls, now or in the future
- →Every LLC, corporation, partnership, trust, or other legal entity in which Jason Hayes holds any ownership interest, directly or indirectly
- →Every affiliate, subsidiary, parent, or related company of any entity owned or controlled by Jason Hayes
- →The heirs, successors, assigns, and legal representatives of Jason Hayes
- →The immediate family of Jason Hayes — spouse, children, stepchildren, parents, stepparents, and siblings
- →The extended family of Jason Hayes — grandparents, grandchildren, aunts, uncles, cousins, nieces, nephews, and in-laws of any degree
- →Close friends, personal associates, and social acquaintances of Jason Hayes
- →Neighbors of Jason Hayes, whether residential or commercial, at any address
- →Any person Jason Hayes has referred, recommended, or introduced to the Platform or to any property
- →Any person who has ever provided a personal or professional service to Jason Hayes in any capacity
Guest's indemnification, defense, and hold harmless obligations under this Agreement run jointly and severally in favor of each of the above protected persons and entities. A claim, demand, or proceeding against any one of them arising from Guest's conduct, breach, or occupancy triggers the full indemnification obligation set forth in Section 12.1.
This Section 12.0 shall survive cancellation, termination, completion of the reservation, and Guest's departure from the property.
12.1 — Broad-Form Indemnification by User
To the fullest extent permitted by applicable law, you ("Indemnitor") shall defend, indemnify, and hold harmless Salt Rock & Sand, LLC, its members, managers, officers, employees, agents, successors, and assigns — including Jason Hayes individually and every entity he owns or controls, now or in the future — (collectively, "Indemnitees") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses — including reasonable attorneys' fees, court costs, expert witness fees, and investigation costs — arising out of or relating to:
- (a)Your use of or access to this Platform, including any booking, reservation, or transaction you initiate or complete through this Platform;
- (b)Your use or occupancy of any property booked through this Platform, including bodily injury, property damage, personal injury, or advertising injury arising from your acts or omissions during your stay;
- (c)Any breach by you of these Terms of Use or any representation, warranty, or covenant made herein;
- (d)Any violation by you of any applicable law, regulation, ordinance, or governmental order, including but not limited to short-term rental regulations, noise ordinances, occupancy limits, and fire safety codes;
- (e)Any acts or omissions of your guests, invitees, licensees, or any other person you permit to access or occupy a property booked through this Platform;
- (f)Any claim by a third party arising from your conduct, your guests' conduct, or any event, gathering, or activity you host or permit at a property booked through this Platform; and
- (g)Any damage to the property, its contents, fixtures, furnishings, or surrounding structures caused by you, your guests, or any person you permit on the premises.
12.2 — Platform Provider Indemnification Pass-Through
NOTWITHSTANDING SECTION 12.1, THE INDEMNIFICATION OBLIGATIONS SET FORTH HEREIN DO NOT APPLY TO ANY CLAIM, LOSS, OR LIABILITY ARISING FROM THE DESIGN, CONSTRUCTION, OPERATION, OR FAILURE OF THIS PLATFORM'S TECHNOLOGY INFRASTRUCTURE, AI SYSTEMS, TAX CALCULATION LOGIC, GEOGRAPHIC DATA, OR ANY OTHER FEATURE OR FUNCTION BUILT, PROGRAMMED, OR DEPLOYED BY GODADDY.COM, INC. ("PLATFORM PROVIDER").
Any claim, demand, action, suit, or proceeding arising from platform errors, AI malfunctions, incorrect tax calculations, erroneous geographic data, unauthorized AI actions, or any other failure of the Platform Provider's technology is expressly excluded from the indemnification obligations of this Section 12 and must be directed exclusively to the Platform Provider as set forth in Section 11. The Company expressly reserves all rights and remedies against the Platform Provider for any indemnification obligations the Company is required to satisfy as a result of Platform Provider failures.
12.3 — Additional Insured Status
As a condition of booking any property through this Platform, you agree that Salt Rock & Sand, LLC shall be named as an additional insured on any homeowner's, renter's, or liability insurance policy you maintain, to the extent such policy permits additional insured endorsements. This obligation is equivalent to the additional insured coverage afforded under ISO form CG 20 10 (Additional Insured — Owners, Lessees or Contractors — Scheduled Person or Organization) or its functional equivalent.
Where you do not maintain such a policy, you acknowledge that you are accepting personal liability for all claims, losses, and damages described in Section 12.1 without the benefit of insurance coverage, and that the Company may pursue all available legal remedies against you personally in the event of a covered loss.
12.4 — Contractual Liability Coverage Trigger
The indemnification obligations set forth in this Section 12 are intended to constitute "insured contracts" within the meaning of ISO CGL form CG 00 01, such that any liability assumed by you under this Section shall be covered under the contractual liability coverage part of any CGL policy you maintain, to the extent such coverage is available. You agree to cooperate with the Company in tendering any covered claim to your insurer and in obtaining the benefit of contractual liability coverage for the Company's losses.
12.5 — Defense Obligation; Counsel Selection
Your defense obligation under Section 12.1 is separate from and independent of your indemnification obligation. You shall defend the Indemnitees against any covered claim immediately upon tender, using counsel reasonably acceptable to the Company. The Company reserves the right to retain independent counsel at your expense if: (a) a conflict of interest exists between you and the Company; (b) you fail to retain qualified counsel within ten (10) business days of tender; or (c) the Company reasonably determines that your chosen counsel is inadequate to protect its interests.
12.6 — Comparative Fault; Proportionate Indemnification
In jurisdictions that prohibit indemnification for an indemnitee's own negligence, the indemnification obligations of this Section 12 shall be limited to claims, losses, and liabilities caused by or arising from your acts or omissions, your guests' acts or omissions, or the acts or omissions of any person you permit on the premises — and shall not extend to claims caused solely by the Company's own negligence. In all other jurisdictions, the broad-form indemnification set forth in Section 12.1 shall apply to the fullest extent permitted by law, including claims arising from the concurrent negligence of the Indemnitees.
12.7 — Survival
The indemnification, additional insured, and hold harmless obligations set forth in this Section 12 shall survive the termination or expiration of these Terms of Use, the completion of your booking, and your departure from any property booked through this Platform. These obligations shall remain in full force and effect until all claims to which they apply have been finally resolved and all applicable statutes of limitations have expired.
12.8 — Omnibus Hold Harmless; Everything Else
Without limiting any other provision of this Agreement, and to the fullest extent permitted by applicable law, Jason Hayes, Salt Rock & Sand, LLC, and every entity owned or controlled by Jason Hayes (collectively, "Protected Parties") are held harmless from and against every claim, demand, action, suit, proceeding, loss, damage, liability, cost, expense, fine, penalty, tax assessment, regulatory action, and attorney fee — whether known or unknown, foreseen or unforeseen, matured or contingent, direct or indirect — arising from any cause whatsoever, including but not limited to each of the following categories:
Catch-All — No Omission Shall Create Liability
The enumeration of specific categories above is illustrative and not exhaustive. The failure to list any particular claim, theory, circumstance, or category of loss in this Section 12.8 or anywhere else in this Agreement shall not be construed to create, imply, or restore any liability of the Protected Parties. Every claim of every kind — whether or not anticipated, described, or foreseeable at the time of booking — is held harmless to the fullest extent permitted by applicable law. If you thought of something we didn't, it's still covered.
Legal Theories Covered: Negligence (ordinary and gross), strict liability, products liability, premises liability, breach of contract, breach of implied warranty, breach of express warranty, fraudulent misrepresentation, negligent misrepresentation, intentional infliction of emotional distress, negligent infliction of emotional distress, nuisance (public and private), trespass, conversion, unjust enrichment, quantum meruit, promissory estoppel, equitable estoppel, respondeat superior, vicarious liability, joint and several liability, dram shop liability, attractive nuisance, res ipsa loquitur, and any other theory recognized at law or in equity in any jurisdiction — whether or not that theory is listed here.
This Section 12.8 shall survive cancellation, termination, completion of the reservation, Guest's departure, and the expiration of these Terms. It is intended to be the broadest hold harmless provision permitted by law.
12.9 — Personal Circle Hold Harmless; Friends, Family, Neighbors & Anyone Else
The hold harmless and indemnification protections of this Agreement extend — without limitation, without exception, and to the fullest extent permitted by applicable law — to every person within the personal, professional, and social circle of Jason Hayes, whether or not that person has any formal legal relationship with Salt Rock & Sand, LLC. Guest acknowledges and agrees that the following persons are expressly held harmless from any claim, demand, suit, or proceeding arising from Guest's booking, stay, conduct, or use of this Platform:
Immediate Family
Spouse, children, stepchildren, parents, stepparents, and siblings of Jason Hayes — by blood, marriage, or adoption
Extended Family
Grandparents, grandchildren, aunts, uncles, cousins of any degree, nieces, nephews, in-laws, and any other relative by blood or marriage, however distant
Close Friends
Personal friends of Jason Hayes, regardless of how long or how well they are known, including childhood friends, college friends, and social media connections
Distant Acquaintances
Anyone Jason Hayes has met, spoken to, or interacted with in any context — professional, social, recreational, or otherwise
Neighbors
Current and former neighbors of Jason Hayes at any residential or commercial address, past or present, including HOA members and community association members
Referrals & Introductions
Any person Jason Hayes has referred, recommended, introduced, or directed to this Platform, any property, or any service offered hereunder
Service Providers
Any person who has ever provided a personal service to Jason Hayes — contractors, vendors, cleaners, landscapers, mechanics, doctors, attorneys, accountants, or any other service provider
Professional Associates
Current and former colleagues, business partners, investors, lenders, advisors, mentors, and professional contacts of Jason Hayes in any industry
Community Members
Members of any church, civic organization, club, team, or community group to which Jason Hayes belongs or has belonged
Anyone Else
Any other person who has any personal, professional, social, or community relationship with Jason Hayes, whether or not that relationship is described above
No Relationship Required — No Knowledge Required
A person need not be known to Guest, need not be present at the property, and need not have any connection to the booking in order to be protected under this Section 12.9. The sole requirement is that the person has, had, or could have any personal, professional, social, or community relationship with Jason Hayes — whether or not Jason Hayes is aware of the claim or the person's identity at the time the claim arises. If Jason Hayes knows them, knew them, or ever crosses paths with them, they are held harmless.
Scope of Protection: Each person described in this Section 12.9 is entitled to the full benefit of every indemnification, defense, hold harmless, and limitation-of-liability provision in this Agreement, including Sections 12.0 through 12.8, as if they were individually named therein. Guest's indemnification obligation runs jointly and severally in favor of each such person. A claim against any one of them arising from Guest's conduct, breach, or occupancy triggers the full indemnification obligation of Section 12.1.
This Section 12.9 shall survive cancellation, termination, completion of the reservation, Guest's departure, and the expiration of these Terms, indefinitely and without limitation.
Insurance Recommendation: The Company strongly recommends that all guests obtain a short-term rental guest liability policy or travel insurance policy with liability coverage of not less than $1,000,000 per occurrence prior to booking. Policies providing additional insured status to property owners and managers are preferred. The Company makes no representation that any particular policy will satisfy the obligations of this Section 12.
13. Multi-State Tax Compliance Disclaimer
As the Company expands its vacation rental platform to properties in all fifty (50) states of the United States, each property is or will be subject to the transient occupancy tax, short-term rental tax, sales tax, lodging tax, hotel tax, tourist development tax, and/or local option tax obligations of the applicable state, county, municipality, and special taxing district in which the property is located. These obligations vary by jurisdiction and are subject to change by legislative or regulatory action without notice.
ALL TAX CALCULATION, COLLECTION, AND REMITTANCE LOGIC USED ON THIS PLATFORM FOR ALL JURISDICTIONS — INCLUDING BUT NOT LIMITED TO EVERY STATE, COUNTY, MUNICIPALITY, AND SPECIAL TAXING DISTRICT IN WHICH A PROPERTY IS LISTED — WAS DESIGNED AND IMPLEMENTED EXCLUSIVELY BY THE PLATFORM PROVIDER'S AI-POWERED SYSTEMS. The Company did not write, program, configure, validate, or audit this logic for any jurisdiction. The Company did not select the tax rates, jurisdictions, or calculation methodologies applied by this Platform in any state. The Company relied on the Platform Provider's representations that its AI-generated platform was capable of accurately handling multi-jurisdiction short-term rental tax compliance across all states in which the Company operates.
DISCLAIMER OF LIABILITY — ALL-STATES TAX ERRORS. The Company expressly disclaims all liability for any tax error, miscalculation, under-collection, over-collection, wrong-jurisdiction assignment, or remittance failure in any state, county, municipality, or taxing district in the United States, arising from the AI-generated tax logic deployed on this Platform. This disclaimer applies without limitation to all fifty (50) states, the District of Columbia, and all United States territories, and to all applicable tax types including but not limited to: state sales tax, state lodging tax, transient occupancy tax, tourist development tax, hotel/motel tax, local option sales tax, special district tax, and any other tax or fee imposed on short-term rental transactions by any governmental authority.
The Company expressly reserves all rights and remedies available at law and in equity against the Platform Provider for any tax liability, penalties, interest, professional fees, audit costs, or damages in any jurisdiction arising from errors in the AI-generated tax logic the Platform Provider sold and represented as fit for multi-jurisdiction short-term rental tax compliance.
14. California Privacy Rights (CCPA/CPRA)
This Section applies to residents of the State of California and supplements the other provisions of these Terms. It is provided pursuant to the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 (collectively, "CCPA/CPRA").
Categories of Personal Information Collected. In connection with your use of this Platform, the Company may collect the following categories of personal information: identifiers (name, email address, IP address, device identifiers); commercial information (booking history, payment records); internet or other electronic network activity information (browsing history on this Platform, interactions with AI assistants); geolocation data (property search location, approximate location); and inferences drawn from the foregoing to create a profile about your preferences.
Purposes of Collection. Personal information is collected for the following business purposes: processing bookings and payments; providing AI-assisted guest services; communicating with guests about reservations; complying with legal obligations; preventing fraud; and improving Platform functionality.
California Consumer Rights. Subject to verification of your identity and applicable exceptions, California residents have the right to: (a) know what personal information is collected, used, shared, or sold; (b) delete personal information held by the Company, subject to certain exceptions; (c) correct inaccurate personal information; (d) opt out of the sale or sharing of personal information; (e) limit the use and disclosure of sensitive personal information; and (f) non-discrimination for exercising CCPA/CPRA rights.
Do Not Sell or Share. The Company does not sell personal information as that term is defined under the CCPA/CPRA. The Company does not share personal information for cross-context behavioral advertising purposes except as disclosed in its Privacy Policy.
AI-Generated Data Processing Disclosure. California residents are advised that this Platform uses AI-powered systems operated by the Platform Provider (GoDaddy.com, Inc.) to process personal information, generate recommendations, and facilitate bookings.
